Answer: Why not? It is your business and you can do WHATEVER you want. If you want to name the family dog the CEO, there is nothing illegal about that! No one really cares (IRS, government, etc) who does what in your family business.

Answer: Generally speaking, the managing director "gets his or her hand dirty" and is more involved in daily operations of the company. Directors may not have more business relations or may deal more with mid-level management. This is only a rule of thumb, and my vary in different countries.

Answer: By "managing director," I'm assuming you mean manager. And yes, you can appoint anyone you want as a manager. Their name does not go on the business license at all. But, before you do that, consider carefully who you appoint. If you are opening a sole proprietorship, then that business is exclusively in your name (since you are the owner) and it makes you 100% liable for everything the company (and the manager) does. This means, if your manager screws up and hurts someone while on the job, whoever is hurt can come after you for retribution. It also means they can take EVERYTHING from you...your house, your car, your business, and your good credit/name. While it is an excellent idea to get liability insurance for your business, a sole proprietorship will never completely protect you from the actions of your employees. Same thing goes for a partnership. However, an LLC (limited liability corporation), or a corporation will protect your assets, and might be worth the extra money. So seriously consider if the director you are considering is worth everything you own...and never trust anyone completely. By the way, the best way to know if someone is embezzling from you is to be the only person who opens your checking account envelopes from the bank. Answer: £13M turnover is not that high and if profits are small then the business has a high cost base. One should ask the question does this business have future potential? To be able to review his salary would require evidence that your partners performance is impacting positively on the business or that he is key to the ongoing viability of the business. It does however take courage and conviction to have that conversation and ultimately if he believes he is not being paid what would be considered to be a market rate, than he can choose to work elsewhere. Answer: Good thinking but you don't need to. I got a free large screen TV out of Granada in the UK when they were running a scam on 2nd hand equipment years ago; the store manager couldn't jump high enough after he got a call from his bosses boss telling him to cool me out. Send an old fashioned letter, pay to register it if really serious, address it to the company's CEO and copy another to the MD. Emails are ethereal and will always get 'lost' by staff 'screening' for leaders. If you have to use email like for dealing w. useless Council staff always attach the Word doc you wrote it on so they know you have a copy to prove. (and copy to the relevant team leader) It doesn't hurt to subtly threaten w. Trading Standards although like Citizens Advice they are largely a useless self serving organisation that will do nothing for you in reality.
